Aowei Holding Announces 22 May 2026 AGM; Seeks 20% Issuance Mandate and 10% Share Buy-back Authorisation

Aowei Holding Limited has issued a notice convening its annual general meeting for 22 May 2026 at 10:00 a.m. in Beijing. Key business to be put before shareholders centres on board continuity, auditor re-appointment and refreshed capital-management mandates.

Financial Statements Shareholders will be asked to receive the audited consolidated accounts and accompanying directors’ and auditors’ reports for the financial year ended 31 December 2025.

Board Composition and Remuneration • Executive directors Li Ziwei and Zuo Yuehui are nominated for re-election. • Independent non-executive director Meng Likun is also up for re-election. • The board will be authorised to set directors’ remuneration.

Auditor Re-appointment Asian Alliance (HK) CPA is proposed to continue as external auditor, with the board empowered to determine its fees.

General Share Issue Mandate The board seeks authority to allot and issue new shares, or transfer treasury shares, up to 20 % of the company’s issued share capital during the mandate period. The mandate also permits the grant of options, warrants, bonds or debentures convertible into shares.

Share Buy-back Mandate A parallel resolution proposes authorising the board to repurchase up to 10 % of issued shares on The Stock Exchange of Hong Kong or other recognised exchanges, subject to Listing Rules and applicable laws.

Extension of Issuance Capacity Conditional on both the issuance and buy-back mandates being approved, the company may increase its issuance limit by the amount of shares actually repurchased, effectively allowing re-issuance of up to an additional 10 % of share capital.

Logistics The share register will close from 18 May to 22 May 2026 (both dates inclusive) for determining AGM eligibility. Shareholders must lodge transfer documents by 4:30 p.m. on 15 May 2026. Proxy forms are due no later than 48 hours before the meeting.

At the time of this announcement, the board comprises five executive directors—Chairman Li Yanjun, Li Ziwei, Zuo Yuehui, Sun Tao and Chen Lixian—and three independent non-executive directors—Dr. Wong Sze Lok, Meng Likun and Ge Xinjian.
