Alliance International Education Leasing Holdings Limited (“Alliance Intl Education Leasing”) disclosed that its wholly-owned subsidiary, International Alliance Financial Leasing (Shenzhen) Co., Ltd., signed a finance-lease agreement with Dongtai Leida Steel Cord Co., Ltd. on 20 August 2026 after market close.

Under the transaction, the subsidiary (as lessor) will purchase production equipment (“Leased Assets”) from Dongtai Leida for RMB37.00 million and immediately lease the assets back to the seller for three years. The lease calls for 12 equal quarterly payments comprising:

• Lease principal: RMB37.00 million • Aggregate lease interest: RMB4.08 million, calculated at a fixed 6.58 % per annum • Total lease amount: RMB41.08 million

The lessee has already paid a deposit of RMB0.74 million; ownership of the equipment remains with the lessor throughout the term, and the lessee may repurchase the assets for RMB100 at expiry, provided all obligations are met.

The Leased Assets—double twisters, wire-drawing machines, bead-wire production lines, electroplating take-up machines, heat-treatment furnaces and auxiliary equipment—carry a combined book value of roughly RMB67.46 million. Payment for the asset purchase will be funded from the Group’s internal resources.

Performance of the lease is backed by joint and several guarantees from Jiangsu Leida Co., Ltd., its controlling shareholder Mr. Tang Guanghong, and Mr. Tang Xiaoshuai.

Management states that the deal aligns with the company’s ordinary course of business and is expected to deliver stable finance-lease income and cash flow. Under Hong Kong Listing Rules, the transaction qualifies as a discloseable transaction, with applicable percentage ratios exceeding 5 % but below 25 %, requiring public announcement but not shareholder approval.
