China Industrial Securities International Financial Group Limited (CISI, Stock Code: 6058) disclosed that on 5 November 2025, an indirect wholly owned subsidiary, CISI Investment Limited, bought US$25 million in principal amount of Verizon Communications Inc.’s 5.25% notes due 2 April 2035 from the open market for US$25,520,208 (equivalent to approximately HK$200,333,635). The original issue price of the notes was 99.746% of the aggregate nominal amount, and the acquisition was funded by internal resources.
According to the announcement, the transaction represents a discloseable deal under Hong Kong Listing Rule 14.07 given one of the applicable percentage ratios exceeds 5% but remains below 25%. The Board highlighted that the purpose of the acquisition is to strengthen CISI’s investment portfolio through broader diversification and to seek stable returns at an acceptable risk level. Verizon Communications Inc. serves as the issuer of the notes, and information indicates that it is a leading global provider of communications and technology services. The Directors consider the acquisition fair and reasonable and in the interests of the group and its shareholders as a whole.
