MOG Digitech Rights Issue Records 27.73% Subscription; 495.88 Million Unsubscribed Shares to Be Placed

MOG Digitech Holdings Limited reported that its ongoing rights issue—offering up to 686.13 million new shares on the basis of one Rights Share for every two existing shares—secured valid acceptances for 190.25 million shares as of the 11 August 2026 deadline. The take-up rate stands at 27.73%, leaving 495.88 million shares (72.27% of the offer) unsubscribed.

In accordance with Hong Kong Listing Rule 7.21(1)(b), these 495.88 million Unsubscribed Rights Shares will be offered to independent investors through a placing agent on a best-effort basis before 4:00 p.m. on 25 August 2026. Any premium achieved above the subscription price will be distributed to shareholders who did not take up their entitlements (“No Action Shareholders”) and to any Non-Qualifying Shareholders on a pro-rata basis, provided individual amounts reach at least HK$100; smaller sums will be retained by the company.

There were no Non-Qualifying Shareholders on the record date, and the company confirms that any Placing Shares remaining unallocated after the placing period will be cancelled, thereby reducing the final size of the rights issue.

MOG Digitech intends to announce the final results of the placing exercise, including the net gain per placed share, on 2 September 2026.

The board reiterated that the rights issue remains conditional on the fulfillment of terms set out in the prospectus. Shareholders and potential investors are urged to exercise caution when dealing in the company’s shares, as the transaction may still lapse if conditions are not met.
