Jinchuan Intl Clears HKEX Resumption Conditions; Trading to Reopen on 30 September 2026

Jinchuan Group International Resources Co. Ltd. (Jinchuan Intl, 02362) has received approval from The Stock Exchange of Hong Kong Limited to resume trading in its shares from 9:00 a.m. on 30 September 2026, after satisfying all six conditions set out in the bourse’s May 2025 resumption guidance.

The suspension, in place since 28 March 2025, stemmed from an allegation of fund misappropriation at the Group’s Ruashi Mine in the Democratic Republic of Congo (DRC). Key milestones achieved over the past 18 months include:

• Completion of an independent forensic investigation. An expert forensic accountant reviewed more than 39,000 electronic documents and 26 additional payment samples. The updated report, issued on 31 August 2026, affirmed that earlier findings remain unchanged and confirmed no evidence implicating current directors or senior management.

• Publication of all delayed financial statements. Audited results for FY 2024 and FY 2025 and unaudited 1H 2026 results were released, with auditor Crowe (HK) CPA Limited issuing unqualified opinions for FY 2024 and FY 2025. Crowe performed additional audit procedures independent of the forensic work.

• Governance overhaul. Former chairman and executive director Mr. Cheng and another implicated employee left the Group in April and July 2026. Three new executive directors and one non-executive director have since joined the Board.

• Strengthened internal controls. Following an in-depth review, the company adopted enhanced procedures for engaging third-party agents, particularly on government-related matters, introduced real-time audits for initial foreign ore procurements, and established quarterly and semi-annual follow-up reviews through 2028. The Board and Audit Committee have confirmed that identified control deficiencies have been rectified.

• Compliance with Listing Rule 13.24 validated. Core operations—copper and cobalt mining in the DRC and Zambia and mineral trading in Hong Kong—remain intact. The Group reported revenue of USD 481.90 million and profit attributable to shareholders of USD 32.70 million for FY 2025, with net assets of USD 1.25 billion. For 1H 2026, revenue reached USD 460.20 million and attributable profit USD 47.80 million, while net assets rose to USD 1.29 billion.

The Board stated that all material information relevant for shareholders has been disclosed and that there are no outstanding regulatory concerns regarding management integrity or operational viability. Shareholders and potential investors are advised to exercise caution when dealing in Jinchuan Intl’s securities as trading recommences.
