According to the latest information from the Hong Kong Stock Exchange, on May 21, a shareholder of XXF Group (02473) deposited shares with Huafu Jianye Securities, with a custody value of HK$128 million, accounting for 8.33% of the shareholding.

XXF Group announced that the placement transaction was completed on May 14, 2026, in accordance with the terms and conditions of the placement and subscription agreement. The placing agent successfully placed a total of 155 million placement shares to no fewer than six placees at the placement price of HK$0.82 per share on a best-efforts basis.

To the best of the directors' knowledge, information, and belief after making all reasonable inquiries, the placees and their ultimate beneficial owners are all independent third parties.

As all conditions for the completion of the top-up and new subscription have been satisfied, the company allocated and issued 155 million top-up and new subscription shares to the seller at HK$0.82 per share on May 19, 2026, in accordance with the terms and conditions of the placement and subscription agreement.
