CA Cultural revises capital reorganisation timetable, clarifies authorised share-capital figures

CA Cultural Technology Group Limited has postponed its extraordinary general meeting (EGM) from 18 May 2026 to 27 May 2026, triggering an adjusted implementation schedule for its planned capital reorganisation and change in board lot size.

Key date changes (Hong Kong time): • Latest time to lodge transfer for EGM eligibility: 4:30 p.m., 11 May 2026 • Register of members closed: 12 May–27 May 2026 • Proxy lodgement deadline: 25 May 2026 • Revised EGM: 11:15 a.m., 27 May 2026 • Voting results release: 27 May 2026

Post-approval procedures Registration of the capital reorganisation with the Cayman Islands Companies Registrar will commence immediately after shareholder approval and may take about three weeks. In parallel, the company must secure Stock Exchange listing approval for all new shares—including those from the reorganisation, subscriptions, scheme of arrangement and convertible bonds—by demonstrating full compliance with the exchange’s resumption conditions issued on 28 January 2025 and 7 July 2025.

Public-float requirement The Stock Exchange has stated that listing approval will not be granted if the resulting share issue breaches Listing Rules, specifically the minimum public-float threshold under Rule 8.08(1). CA Cultural must therefore implement measures to maintain adequate public float before and after completion of the subscriptions. Failure to obtain listing approval would render the subscriptions and the wider restructuring—including creditor schemes—void.

Authorised share-capital correction A typographical error in the 15 May 2026 announcement has been corrected. The current authorised share capital of HK$500.00 million is divided into 5.00 billion shares of HK$0.10 each, and will increase to HK$10.00 billion divided into 1.00 trillion shares of HK$0.01 each, subject to shareholder approval under resolution 3(A).

Investor caution Given the conditional nature of the capital reorganisation, subscriptions and restructuring, shareholders and potential investors are advised to exercise caution when dealing in CA Cultural shares until further announcements confirm progress on regulatory clearances.
