JD Health Cancels 21.54 Million Shares in July, Issued Capital Drops to 3.19 Billion

JD Health International Inc. filed its monthly return for the period ended 31 July 2026, confirming the cancellation of 21.54 million previously repurchased ordinary shares on 22 July. The move reduced the company’s issued share base to 3.19 billion shares, while the authorised share capital remained unchanged at 100 billion shares (par value USD 0.0000005), equivalent to USD 50,000.

The company reported no treasury shares outstanding and affirmed compliance with Hong Kong’s minimum 25 % public-float requirement.

Share-based incentive activity was limited: • Pre-IPO ESOP: 9.43 million options outstanding; no exercises, grants, or cancellations occurred during the month. • Post-IPO Share Option Scheme: no options outstanding; capacity to issue up to 312.71 million shares remains available. • Post-IPO Share Award Scheme: up to 14.86 million shares may be granted; no new shares were issued or transferred.

No warrants, convertible securities, or other equity-linked instruments were outstanding or issued during the month.

With the latest cancellation, total issued shares decreased by 0.67 % month-on-month, underscoring management’s ongoing capital-management programme while keeping the public float intact.
