China Reinsurance (Group) Corporation (“CHINA RE”) has released its 2025 board circular ahead of the annual shareholders’ meeting set for 26 June 2026 in Beijing.
Key Performance (PRC Accounting Standards)
• Consolidated assets reached RMB 662.25 billion, up 5.41% from the start of 2025. • Net profit after tax rose 41.13% year-on-year to RMB 10.16 billion. • Net profit attributable to the parent company increased 38.43% to RMB 9.72 billion.

• Consolidated assets stood at RMB 527.76 billion, up 3.82%. • Net profit after tax totalled RMB 10.22 billion, down 7.79% due to prudent asset and liability re-measurement. • Net profit attributable to the parent company came in at RMB 9.77 billion.
Dividend Proposal
The board recommends a cash dividend of RMB 0.0691 per share, totalling RMB 2.94 billion, equivalent to a 30.19% payout of 2025 PRC-GAAP attributable profit. Record date is 8 July 2026 with payment slated for 21 August 2026.
Solvency Position
Group consolidated solvency adequacy ratio stood at 188.07% as of 31 December 2025, comfortably above the 100% regulatory minimum. All domestic insurance subsidiaries remained compliant throughout the year.

• Election of Zhang Xueyong as independent non-executive director. • Fixed-asset investment budget of RMB 26.46 million for 2026. • Three-year rolling capital plan (2026-2028) targeting a consolidated solvency ratio of 150% and favouring endogenous capital generation; no group-level external capital raise planned. • Re-appointment of KPMG Huazhen LLP and KPMG as domestic and overseas auditors for 2026; audit fee set at RMB 4.03 million. • External donations budget of RMB 11.21 million for 2026 (includes HKD 1.40 million already earmarked for Hong Kong fire relief).
Governance & Risk
The board affirmed continued compliance with China’s C-ROSS Phase II requirements. Directors and supervisors received “competent” ratings in the 2025 performance evaluation, and the company plans to renew D&O liability insurance (2026-2027) with a USD 30 million limit and premium not exceeding USD 0.20 million.

The register closes 23-26 June 2026 for meeting eligibility and 3-8 July 2026 for dividend entitlement. Proxy forms must be lodged by 9:30 a.m. on 25 June 2026.
