Country Garden Announces Offshore Debt Restructuring Milestone as Holding Period Expires and Trust Assets Distributed

Bulletin Express
06/29

Country Garden Holdings Company Limited reported that the Holding Period connected with its offshore debt restructuring scheme expired on 29 June 2026, triggering the distribution of Trust Assets to Unadmitted Scheme Creditors that successfully established their entitlements by the same date.

In line with Clause 6.4 of the Scheme, any Unadmitted Scheme Creditor that did not confirm its entitlement before the Bar Time has forfeited rights to receive New Notes Entitlements or MCB (B) Entitlements. Following the expiry, all remaining unvested Trust Assets will be transferred back to the Company and, where applicable, cancelled pursuant to Clause 2.5 of the Holding Period Trust Deed and Clause 6.6 of the Scheme. Affected creditors will have no further claims related to these assets against the Company, the Holding Period Trustee or any other party.

Eligible Scheme Creditors can verify their individual Scheme Consideration Entitlements via the online Scheme Entitlements Calculator at https://projects.sodali.com/countrygarden.

For additional details, stakeholders may contact the Information Agent, Sodali & Co, or GLAS Agency (Hong Kong) Limited, which acts as both Holding Period Trustee and Blocked Scheme Creditor Tabulation Agent, using the contact information provided in the announcement.

The Board reiterates that shareholders, securities holders and investors should exercise caution when dealing in the Company’s securities and, if in doubt, seek professional advice.
