Doumob Schedules 26 June 2026 AGM to Adopt FY2025 Results, Re-elect Directors and Renew Share Mandates

Doumob will convene its annual general meeting (AGM) at 10:00 a.m. on Friday, 26 June 2026, in the company’s Beijing conference room (Room 1007, International Creative Exhibition Center, Ganlu Garden Nanli, Chaoyang District).

Key items on the agenda include:

1. Financial Statements: Shareholders will vote on the adoption of the audited consolidated financial statements for the year ended 31 December 2025 together with the directors’ and auditor’s reports.

2. Board Composition: • Re-election of four retiring directors—executive director Yuan Limin, non-executive director Liu Ailun, and independent non-executive directors Chen Ning and Zhang Limin. • Authorisation for the board to determine directors’ remuneration.

3. Auditor: Re-appointment of BDO Limited as external auditor until the next AGM and authorisation for the board to set its remuneration.

4. Share Capital Mandates: • General mandate allowing the board to allot, issue or deal with additional shares and convertible securities up to 20% of the company’s issued share capital (excluding any treasury shares) during the mandate period. • General mandate permitting the company to repurchase up to 10% of its issued shares (excluding any treasury shares). • Extension of the share-issuance mandate by the number of shares repurchased under the buy-back mandate, capped at an additional 10% of issued shares.

Shareholders’ eligibility: The register of members will be closed from Tuesday, 23 June 2026 to Friday, 26 June 2026 (both days inclusive). Only shareholders recorded on 26 June 2026 may attend and vote.

Proxy arrangements: Completed proxy forms must be lodged with Computershare Hong Kong Investor Services Limited by 10:00 a.m. on Wednesday, 24 June 2026.

Board composition at the notice date (23 April 2026): executive directors Yang Bin, Yuan Limin and Shi Hui; non-executive director Liu Ailun; independent non-executive directors Chen Ning, Chen Hua and Zhang Limin.
