ZHONG JI LS reported that every motion on the agenda of its Annual General Meeting (AGM) held on 30 June 2026 received unanimous shareholder approval by poll.
A total of 191.53 million votes were cast, representing approximately 30.09% of the company’s 636.65 million issued shares. Each of the nine ordinary resolutions secured 100% “for” votes, with zero opposition.
Key outcomes:
1. Financial Statements Adopted • Shareholders approved the audited consolidated financial statements and accompanying directors’ and auditor’s reports for the financial year ended 31 December 2025.
2. Board Composition Reaffirmed • Re-election of Executive Director Yan Li, Non-executive Director Lyu Changsheng, and Independent Non-executive Directors Wang Huijuan and Tam Mei Chu was confirmed. • The Board was authorised to determine directors’ remuneration for the coming year.
3. Auditor Appointment • CCTH CPA Limited was re-appointed as external auditor until the next AGM, with the Board authorised to fix its remuneration.
4. Capital Management Mandates • Issue Mandate: The Board may allot and issue new shares up to 20% of the existing issued share capital as at the AGM date. • Repurchase Mandate: The Board may repurchase shares representing up to 10% of the issued share capital. • Extension Mandate: The share issue mandate may be increased by the number of shares repurchased under the above authority.
Computershare Hong Kong Investor Services Limited acted as the independent scrutineer for vote-counting. All directors participated in the AGM either in person or electronically.
