Share Options • Volume: 250,000 options, each convertible into one ordinary share. • Exercise price: HK$5.96, set at the higher of (i) the HK$5.90 closing price on the grant date, (ii) the five-day average of HK$5.96, and (iii) the share’s nominal value. • Term: 10 years from the grant date. • Vesting: 25 % after one year, 25 % after two years and 50 % after three years from 28 September 2026, subject to individual performance and risk-control targets. • Claw-back: Options may be forfeited under the scheme’s misconduct and termination provisions. • Post-grant headroom: 93.73 million shares remain available for future grants under the 2024 Share Scheme.
Restricted Share Awards (RSAs) • Volume: 208,129 RSAs, equal to roughly 0.02 % of issued share capital. • Funding: Settled with existing shares acquired on-market; no new shares will be issued, avoiding dilution. • Vesting: Identical 25 %/25 %/50 % schedule over three years from 28 September 2026, contingent on performance and risk management metrics. • Claw-back: Awards can be reclaimed for serious misconduct, financial mis-statements or other specified events. • Post-grant headroom: 95.95 million shares remain available under the 2025 RSA Scheme.
Both grants aim to attract, retain and incentivise key talent, aligning employee interests with long-term shareholder value. The beneficiaries are independent of the board, senior management and connected parties, keeping within all Hong Kong Listing Rules limits on individual equity awards. No financial assistance was provided to the grantee for either award.
