ADD NEW ENERGY (02623) announced that following the dispatch of the composite document on December 18, 2025, the Board received notice from the offeror. After discussions between the offeror and Mr. Zhao Ju, Mr. Zhao Ju will be appointed as a Non-Executive Director.

Ms. Wei Jiaming, Mr. Wu Haigan, Mr. Liao Daxue, and Mr. Chen Hongzheng have been appointed as Executive Directors. Mr. Zhao Ju, Mr. Xia Chun, and Mr. Wang Dong have been appointed as Non-Executive Directors. Additionally, Mr. Xie Jie and Mr. Wang Zhihua have been appointed as Independent Non-Executive Directors, effective upon the dispatch of the composite document on December 18, 2025.

Furthermore, Ms. Wei Jiaming has also been appointed as Chairman of the Board and the Company, as well as Chairman of the Nomination Committee. Following Ms. Wei's appointment as Chairman, Mr. Li Yunde will no longer serve as Chairman of the Board and the Company, or as Chairman of the Nomination Committee, effective from the dispatch of the composite document on December 18, 2025.
