JIANGSU EXPRESS (00177) announced that on October 29, 2025, the company signed a supplementary agreement to the "Capital Contribution Agreement of Jiangsu Xitai Expressway Co., Ltd." with relevant parties, pledging additional capital to Xitai Company based on the progress of the Xitai project. The registered capital of Xitai Company will increase by RMB 5,599,095,550 to RMB 12,099,095,550.
In line with the provincial government's policy to expand social infrastructure investors, Xitai Company has invited certain contractors of the Xitai project to become shareholders, with a total investment of RMB 650 million. The remaining capital increase will be contributed proportionally by existing shareholders, with JIANGSU EXPRESS investing RMB 2,497,047,775.
Following the entry of new investors, the company's stake in Xitai Company will decrease from 50% to approximately 47.5% of the expanded registered capital. Given that the Xitai project is in its early stages with no significant changes and Xitai Company has only recorded minor losses, all parties agreed that new investors will contribute RMB 1 per unit of registered capital under the same terms as existing shareholders, mirroring the initial investment conditions.
The Xitai project is one of the key provincial transportation initiatives proposed by the Jiangsu government in its three-year rolling plan, aiming for construction to commence in 2024. Successful implementation of the project will further solidify JIANGSU EXPRESS's leading position in the southern Jiangsu highway network.
By introducing social capital through the capital increase, the move will help secure necessary funding for the Xitai project while reducing the company's own capital expenditure requirements.
