TIANAN MEDICARE (00383) announced that on November 13, 2025 (after trading hours), the client Kunming Tongren Hospital Co., Ltd. (an indirect wholly-owned subsidiary of the company) entered into a renovation agreement with contractor Zhejiang Shunjie Construction Group Co., Ltd. for the interior decoration and renovation works of Kunming Tongren Hospital Phase II. The project includes the Thyroid Center, General Inpatient Building, and Rehabilitation Medicine Building, with a total contract value of RMB 130 million.

Under the agreement, the contractor will be responsible for the renovation works of Kunming Tongren Hospital Phase II, located at No. 1099 Guangfu Road, Kunming, Yunnan Province, China. The project covers a total floor area of approximately 48,357 square meters.

The board of directors believes that (i) the transaction under the renovation agreement is conducted on normal commercial terms; (ii) the terms of the agreement are fair and reasonable; and (iii) the execution of the agreement aligns with the overall interests of the company and its shareholders.
