Zhong Hua International Holdings Limited reported that shareholders overwhelmingly endorsed all eight ordinary resolutions at the Annual General Meeting held on 26 June 2026.
A total of 768.62 million shares were eligible to vote, with 133.93 million votes cast on each resolution. Support exceeded 99.99 % for every motion, while opposition accounted for just 10 votes (0.01 %) per item, according to poll results verified by Tricor Investor Services Limited.
Key resolutions included:
• Adoption of the audited financial statements for the year ended 31 December 2025 and receipt of the directors’ and auditor’s reports.
• Authorisation for the board to set directors’ remuneration.
• Re-appointment of Ernst & Young as auditor for the coming year, with board-approved remuneration.
• Re-election of executive director Ho Kam Hung and independent non-executive director Tam Kong Lawrence.
• Renewal of a 20 % general mandate to issue new shares, a 10 % mandate to repurchase shares, and an extended mandate allowing repurchased shares to be added to the issuance limit.
All directors attended the AGM either in person or electronically. Following the meeting, the board comprises Executive Director Ho Kam Hung, Non-Executive Director Young Kwok Sui, and Independent Non-Executive Directors Tam Kong Lawrence, Wong Miu Ting Ivy, and Wong Kui Fai.
The company secretary, Lee Tao Wai, confirmed the poll outcomes in a filing dated 26 June 2026.
