Bank of Chongqing (1963) Announces EGM Poll Results and Three-Quarters Dividend

Bank of Chongqing Co., Ltd. (Stock Code: 1963) convened its first extraordinary general meeting of 2025 (EGM) on November 28, 2025. Shareholders and proxies representing approximately 77.469013% of the bank’s total shares with voting rights (3,265,550,649 shares) attended. All proposed resolutions, including one ordinary and four special resolutions, were passed by poll.

According to the poll results, the ordinary resolution regarding the Profit Pre-distribution Plan for the First Three Quarters of 2025 was approved. Special resolutions on amendments to the Articles of Association and related procedural rules, as well as the resolution on the dissolution of the Board of Supervisors, were also passed by the required majority.

The approved cash dividend of RMB1.684 (tax inclusive) per 10 shares for the first three quarters of 2025 is based on the bank’s total ordinary share capital of 3,474,585,802 shares as of September 30, 2025, amounting to RMB585,120,249.06 (tax inclusive) in total. The dividend is denominated and declared in Renminbi, with an option for holders of H Shares to receive it in Hong Kong dollars or Renminbi. The distribution per share may be adjusted should conversion of convertible bonds alter the bank’s total ordinary share capital prior to the record date.

The bank appointed Industrial and Commercial Bank of China (Asia) Limited as receiving agent for distribution of the dividend to holders of H Shares. The official announcement provides further information on payment arrangements and related procedures.
