OUE Healthcare Limited announced on Dec, 24 2025 that the previously disclosed sale of 858,412,248 ordinary shares to Treasure International Holdings Pte. Ltd. has been completed.

Following the transaction, Mr. Takeshi Seo has resigned as a Non-Independent, Non-Executive Director and as a member of the Nominating and Remuneration Committee (NRC) with effect from the same date.

The board has been reconstituted to comprise: • Lee Yi Shyan (Non-Independent, Non-Executive Chairman) • Yet Kum Meng (Chief Executive Officer and Executive Director) • Abram Melkyzedeck Suhardiman (Non-Independent, Non-Executive Director) • Roger Tan Chade Phang (Lead Independent, Non-Executive Director) • Eric Sho Kian Hin (Independent, Non-Executive Director) • Jackson Tay Eng Kiat (Independent, Non-Executive Director) • Usha Ranee Chandradas (Independent, Non-Executive Director)

The NRC is now chaired by Roger Tan Chade Phang and includes Lee Yi Shyan, Eric Sho Kian Hin and Jackson Tay Eng Kiat. The composition of the Audit and Risk Committee remains unchanged.

OUE Healthcare expressed its appreciation to Mr. Seo for his contributions and said the NRC will continue to review the board’s structure to ensure an appropriate mix of skills and experience.
