Tiptree Inc. (NYSE: TIPT), a specialty insurance holding company, released its second-quarter 2026 financial results on July 29 and announced a definitive agreement to acquire Universal Shield Insurance Group (USIG).
For the second quarter, net income attributable to common shareholders reached $389.2 million, or $10.30 per diluted share, significantly boosted by substantial gains from the sale of its subsidiaries, Fortegra and Reliance. The company completed the sale of Fortegra on May 29 for $1.65 billion, generating $1.12 billion in gross proceeds and a $372.2 million after-tax gain. The sale of Reliance was finalized on May 1 for $49.7 million in cash. As of June 30, the company's book value increased to $907 million, or $24.34 per share. A quarterly dividend of $0.06 per share was also declared.
Simultaneously, Tiptree announced it will acquire Universal Shield Insurance Group for $100 million in cash, with the transaction expected to close in the first quarter of 2027. USIG is a specialty property and casualty insurance company licensed in 49 states, operating in both surplus and non-surplus lines markets. Its insurance subsidiaries hold an AM Best rating of A- (Excellent).
Chairman and CEO Michael Barnes stated that USIG provides Tiptree with a new foundation in the specialty insurance sector and a clear path for growth, noting the management team's strong track record in disciplined underwriting and risk management. Chris Timm, CEO of USIG, commented that joining Tiptree will allow the company to expand its underwriting capabilities and business footprint.
