NAYUKI Plans Amended Articles to Enable Virtual Meetings and Treasury Share Holding, Seeks Approval at 24 Jun 2026 AGM

NAYUKI Holdings Limited announced a proposal to adopt an Amended and Restated Memorandum and Articles of Association aimed at modernising corporate governance and aligning with the latest Hong Kong Listing Rules.

Key amendments: • Paperless regime compliance: The revised Articles will facilitate shareholders’ electronic participation, including virtual attendance and voting at general meetings, electronic submission of proxy instructions and other notices, and receipt of electronic payment of corporate action proceeds such as dividends. • Treasury shares: The Company intends to incorporate explicit authority to hold treasury shares, providing greater flexibility in capital management. • Operational efficiencies: Additional housekeeping revisions are designed to streamline the conduct of general meetings and other corporate affairs.

Implementation timeline: • The amendments require approval by special resolution at the Annual General Meeting scheduled for Wednesday, 24 June 2026. • A detailed circular outlining the proposed changes and the AGM notice will be distributed to shareholders in due course.
