Founder Holdings (00418) announced that Mr. Chen Zhongji has resigned from his position as an independent non-executive director of the company due to other business arrangements, effective December 31, 2025. Ms. Tan Meizhu has been appointed as an independent non-executive director, effective December 31, 2025. Following Mr. Chen's resignation as an independent non-executive director on December 31, 2025, he will also cease to be a member and the chairman of the company's audit committee, as well as a member of the company's nomination committee, effective from the same date. Mr. Lai Yaming has been appointed to replace Mr. Chen as the chairman of the audit committee, effective December 31, 2025. Ms. Tan has been appointed to replace Mr. Chen as a member of both the audit committee and the nomination committee, effective December 31, 2025.
