Sunac China Holdings Limited released its Monthly Return for Equity Issuer for the period ended 31 October 2026, indicating no changes in either authorised or issued share capital during the month.
The company’s authorised share capital remained at 30.00 billion ordinary shares with a par value of HKD 0.10 each, equivalent to HKD 3.00 billion. Issued share capital was unchanged at 19.97 billion shares, and Sunac continued to hold zero treasury shares. Management confirmed compliance with the Main Board’s minimum 25 per cent public-float requirement.
Convertible instruments on the balance sheet were stable. The outstanding zero-coupon mandatory convertible bonds due 2028 (“MCB 2”), issued on 23 December 2025, stood at USD 2.40 billion, with no conversions during October. These bonds could still translate into up to 4.86 billion new shares, representing potential dilution of roughly 24 per cent of the current issued share count if fully converted at the preset price of HKD 3.85 per share.
Separately, the Employee Stock Ownership Plan, approved on 9 September 2025, continues to allow for the future issue of 284.56 million shares; however, no shares were granted or transferred in October.
The company’s latest confirmation to the Hong Kong Stock Exchange states that all compliance requirements, including receipt of funds, regulatory filings, and documentation, have been duly met.
