KML TECH Maintains 404.96 Million Issued Shares in April, Confirms Public-Float Compliance

Hong Kong—04 May 2026—KML Technology Group Limited (“KML TECH”) filed its monthly return for the period ended 30 April 2026, confirming that no changes occurred in either authorised or issued share capital during the month.

Authorised Capital • Authorised share count remained at 3.80 billion ordinary shares with a par value of HKD 0.01, equivalent to HKD 38.00 million in authorised capital. No increase or decrease was recorded.

Issued Shares and Public Float • Issued shares (excluding treasury shares) closed the month unchanged at 404.96 million. • The company held no treasury shares, leaving total issued shares likewise at 404.96 million. • Management confirmed the public float exceeded the 25% minimum required under GEM Rule 17.37B, satisfying regulatory thresholds.

Share-Based Incentives • The share-option scheme adopted on 20 September 2017 shows 5.90 million outstanding options at an exercise price of HKD 0.171, identical to the preceding month. • These options represent the entire number of shares that could be issued under existing grants, while an additional 12.00 million shares remain available for future option issuance under the scheme’s mandate.

Capital Activity • No warrants, convertibles, share repurchases, or other equity-related transactions were reported for the month.

Governance Confirmation Joint Company Secretary Woo Siu Wai certified that all share-related matters disclosed have been duly authorised and comply with Hong Kong listing rules and applicable regulations.
