Readboy Education Calls 29 May 2026 AGM, Seeks Fresh 10% Buy-back and 20% Issuance Mandates

Readboy Education Holding Company Limited released its AGM circular dated 23 April 2026, outlining four key resolutions to be tabled on 29 May 2026 in Zhongshan City, Guangdong Province.

The Board will ask shareholders to grant: • A share-repurchase mandate authorising the Company to buy back up to 35.20 million shares, equivalent to 10% of the current 352.00 million issued shares (excluding any treasury shares). • An issuance mandate permitting the allotment or transfer of up to 70.40 million new or treasury shares, representing 20% of issued share capital. • An extension of the issuance mandate by the number of shares actually repurchased under the buy-back mandate.

All mandates will remain in force until the next annual general meeting or an earlier revocation by shareholders.

Governance items include the proposed re-election of Chairman and CEO Qin Shuguang, Executive Director Liu Zhilan and Non-executive Director Shen Jianfei, along with the re-appointment of Ernst & Young as external auditor.

Key timetable: • Register of members closes 26–29 May 2026 (both days inclusive). • Share transfer documents must be lodged by 4:30 p.m. on 22 May 2026 for voting eligibility. • AGM: 10:00 a.m., 29 May 2026.

As at the latest practicable date, controlling shareholders acting in concert hold 62.30% of issued shares; a full 10% buy-back would raise their aggregate interest to approximately 69.34%, which the Board states remains compliant with Hong Kong Stock Exchange public-float requirements.

Proxy forms must reach Computershare Hong Kong Investor Services Limited no later than 10:00 a.m. on 27 May 2026.
