Mabwell's Subsidiary Lianwei Chuangyuan to Bring In Investors, Aiming to Boost Innovative Drug Business

Mabwell (Shanghai) Bioscience Co., Ltd. (688062.SH) has announced that, in line with its strategic development plan and to further advance its innovative drug business while focusing on technological innovation and industrialization in the next-generation T-cell engager field, the company plans to sign a Capital Increase Agreement and a Project Transfer Contract with its wholly-owned subsidiary Lianwei Chuangyuan (Shanghai) Biotechnology Co., Ltd. ("Lianwei Chuangyuan" or the "target company"). The company intends to subscribe to RMB 82.5 million of newly registered capital in Lianwei Chuangyuan using monetary funds of RMB 825 million, and confirms that the initial registered capital of RMB 100,000 corresponds to a capital contribution of RMB 1 million. Upon completion of the above capital increase, Lianwei Chuangyuan's registered capital will increase from RMB 100,000 to RMB 82.6 million, and the company will still hold 100% equity in Lianwei Chuangyuan. The company will transfer its TCE project assets, including patents, technical materials, and registered trademarks related to the TCE project, to Lianwei Chuangyuan at an appraised price of RMB 826 million.

In addition, the target company plans to bring in investors, intending to sign a Pre-A Round Capital Increase Agreement and a Pre-A Round Shareholders Agreement regarding Lianwei Chuangyuan with five investors. The five investors plan to subscribe to RMB 16 million of newly registered capital in Lianwei Chuangyuan with a total contribution of RMB 160 million, and Shanghai Lianwei Zhihe Medical Information Consulting Partnership (Limited Partnership) has the right to subscribe to RMB 17.4 million of newly registered capital in Lianwei Chuangyuan after the investors' closing is completed. After all the above capital increases are completed, Lianwei Chuangyuan's registered capital will increase from RMB 82.6 million to RMB 116 million, and the company is expected to still hold 71.21% equity in Lianwei Chuangyuan, which will remain a controlled subsidiary within the company's consolidated financial statements.

The company aims to promote the development of its innovative drug business, focus on technological innovation and industrialization in the next-generation T-cell engager field, achieve independent accounting and professional operation of the corresponding R&D business, and solidify its market-oriented financing foundation. This external investment will strengthen the company's resource allocation capabilities, broaden its capital operation space, further enhance R&D efficiency, and accelerate the transformation of related technological achievements.
