China Bohai Bank Co., Ltd. (CBHB) disclosed that Independent Non-Executive Director Tse Yat Hong has submitted his resignation after completing the maximum six-year term stipulated by the Code of Corporate Governance of Banking and Insurance Institutions.

Tse will step down from the Board, where he also serves as: • Chairman, Audit and Consumer Rights Protection Committee • Member, Risk Management and Green Finance Committee • Member, Related Party Transactions Control Committee

The resignation will take effect upon the election of a successor by CBHB’s shareholders’ general meeting and the subsequent regulatory approval of that successor’s qualifications. Until then, Tse will continue to fulfil all current responsibilities.

CBHB confirmed that Tse has no disagreements with the Board and that no matters related to his departure require the attention of shareholders, creditors, or The Stock Exchange of Hong Kong Limited.

As of 30 June 2026, CBHB’s Board comprises: • Executive Directors: Wang Jinhong (Chairman), Qu Hongzhi • Non-Executive Directors: Au Siu Luen, Yuan Wei, Cui Hongqin, Hu Aimin, Zhang Yunji, Ling Yingjie (employee director) • Independent Non-Executive Directors: Tse Yat Hong, Shum Siu Hung Patrick, Wang Aijian, Liu Junmin, Liu Lanbiao, Ouyang Yong

The Board expressed sincere gratitude to Tse for his six years of service and contributions to the bank.
