Tanwan: Shareholders Approve All AGM Resolutions; Green-light for 20% Issuance, 10% Buy-Back Mandates

Tanwan Inc. (Tanwan) secured overwhelming shareholder backing at its 17 June 2026 Annual General Meeting (AGM) in Guangzhou, with every item on the six-resolution agenda passed by large margins.

A total of 334.88 million voting shares—representing 64.25% of Tanwan’s 516.41 million shares entitled to vote—were cast by poll. Each resolution achieved at least 98.13% support, underscoring broad investor confidence in the Board’s proposals.

Key approvals:

1. Financial Statements: The audited consolidated results for the year ended 31 December 2025, along with the Directors’ and auditor’s reports, were adopted with 99.99% of votes in favour.

2. Board Composition and Compensation: • Re-election of Executive Director Ms Wu Xuan (99.99% approval). • Re-election of Independent Non-Executive Director Ms Zheng Yi (99.98%). • Authorisation for the Board to set Directors’ remuneration (99.98%).

3. Auditor Re-appointment: Ernst & Young was re-appointed as external auditor with unanimous approval (100.00%).

4. Capital Management Mandates: • General mandate to issue new shares or re-sell treasury shares up to 20% of issued share capital (98.13% approval). • Authority to buy back shares up to 10% of issued share capital (100.00%). • Extension of the issuance mandate by the amount of shares repurchased (98.13%).

Corporate structure at the time of voting comprised 534.44 million issued shares, including 13.21 million treasury shares without voting rights. In accordance with Hong Kong Listing Rule 17.05A, 4.26 million shares held by Glorious Tycoon Limited and 0.56 million shares held by WxCocreation Limited were required to abstain from voting.

All Tanwan directors attended the AGM, and Tricor Investor Services acted as scrutineer for poll counting.
