Dickson Concepts (International) Limited (Stock Code: 0113) announced that Group Executive Chairman and Executive Director Sir Dickson Poon is retiring from his positions with effect from the conclusion of the Board Meeting held on 20 October 2025. He also relinquishes his role as Chairman of the Nomination Committee. According to the announcement, Sir Dickson Poon will continue serving the Group by becoming a member and Chairman of the Investment Committee, concentrating on strategic diversification and new investment opportunities, as well as offering advisory support and strengthening partnerships.

The Board stated that Sir Dickson Poon has no disagreement with its members and expressed gratitude for his leadership since establishing the Group 45 years ago. Chief Operating Officer and Executive Director, Mr. Poon Dickson Pearson Guanda, assumes responsibility for running the Group’s businesses beginning at the conclusion of the 20 October 2025 Board Meeting.

Mr. Chan Hon Chung, Johnny Pollux, who is 65 and has been with the Group since 1983, will serve as Acting Chairman and Chairman of the Nomination Committee. He remains an Executive Director and is also a member of the Remuneration Committee and the Investment Committee. For the year ended 31 March 2025, Mr. Chan received a Director’s fee of HK$10,000 and total emoluments of HK$4,824,000, which covered salary, allowances and benefits, retirement contributions, and discretionary bonuses.

As of 20 October 2025, the Board comprises three Executive Directors—Mr. Chan Hon Chung, Johnny Pollux (Acting Chairman), Mr. Poon Dickson Pearson Guanda (Chief Operating Officer), and Mr. Lau Yu Hee, Gary—and four Independent Non-Executive Directors: Mr. Bhanusak Asvaintra, Mr. Nicholas Peter Etches, Mr. Fung Yue Ming, Eugene Michael, and Ms. Lam Sze Wan Patricia. The announcement confirms there are no other matters requiring shareholders’ attention in relation to these Board changes.
