Tongdao Liepin Proposes Sixth Amended Articles to Support Hybrid Meetings, Treasury Shares and Uncertificated Securities

Tongdao Liepin Group (Stock Code: 06100) has released a board announcement proposing to replace its Fifth Amended and Restated Memorandum and Articles of Association (MAA) with a Sixth Amended and Restated version.

Key points from the proposal:

• Scope of changes – The new MAA aims to: 1) Align with updated regulatory requirements for hybrid and electronic meetings, electronic voting and digital dissemination of corporate communications; 2) Introduce detailed provisions on treasury-share management, including cancellation, transfer and voting-rights restrictions; 3) Facilitate the future launch of an uncertificated securities market by incorporating definitions and mechanics for dematerialised shareholdings and electronic transfer systems; and 4) Implement consequential and housekeeping revisions throughout the document.

• Shareholder approval – The amendments will be tabled as a special resolution at the company’s next annual general meeting, scheduled for 3 June 2026. The new MAA will become effective upon shareholder approval.

• Next steps – A circular containing the full text of the proposed amendments and the AGM notice will be published and dispatched in accordance with Hong Kong Listing Rules.

• Board composition – The announcement is signed by Chairman Mr Dai Kebin. Executive directors are Mr Dai Kebin and Mr Tian Ge; independent non-executive directors are Mr Ye Yaming, Mr Zhang Ximeng and Ms Fan Xinpeng.

The proposed Sixth Amended MAA is designed to modernise Tongdao Liepin’s corporate governance framework, enhance operational flexibility and prepare the company for Hong Kong’s forthcoming uncertificated securities regime.
