Approved by a special resolution on 9 February 2026, the revised Articles of Association of Biosino Bio-Technology and Science Incorporation outline the company’s governance, share structure, and operating scope.

The updated document reaffirms the company’s position as a joint stock limited company with a registered capital of RMB144,707,176, divided into 144,707,176 ordinary shares. The board structure includes executive directors, non-executive directors, and independent non-executive directors. At least one-third of board members must be independent non-executive directors.

The revised Articles set forth procedures for decision-making, shareholders’ rights, and obligations. They confirm that shareholders can participate in general meetings, propose motions under certain shareholding thresholds, and inspect corporate documents. The document also details financial management systems and clarifies the processes for dividend distribution, capital increases or reductions, and repurchasing of shares.

Additionally, the Articles introduce an Audit Committee under the Board of Directors to handle oversight responsibilities, including the appointment of accounting firms and financial reporting matters. Other committees—such as Nomination and Remuneration—are established for board-level oversight.

These changes aim to strengthen the corporate governance framework and ensure that the company’s internal controls and management practices adhere to applicable laws and regulations.
