China Ruifeng Renewable Energy Holdings Limited (the Group) issued a monthly update detailing the status of several ongoing transactions: the proposed subscription of new shares and convertible bonds under specific mandates, a proposed acquisition of a 50% equity interest in a target company, and the related Whitewash Waiver application.

According to the announcement, the completion of Share Subscription A, CB Subscription A, and the proposed acquisition remains subject to the fulfillment or waiver of various conditions. None of these conditions have been fully met as of the date of the announcement, and Subscriber A Holdco has not yet submitted the Whitewash Waiver application. The long stop date for these transactions currently stands at 31 December 2025. If the conditions are not satisfied or waived by that date, the agreements will lapse. The company reiterated its intention not to seek further extensions if all necessary internal approvals on the part of Subscriber A Holdco are not obtained by 31 December 2025.

The dispatch date for the circular concerning the proposed transactions has also been extended to 31 December 2025, with consent granted by the Executive. The company is assessing whether the conditions can be met before the long stop date and continues to maintain communication with Subscriber A Holdco to facilitate progress.

In a related development, the long stop dates for Share Subscription B Completion, CB Subscription B Completion, and CB Subscription C Completion—now also set for 31 December 2025—may require further extensions. The company plans to enter into supplemental agreements with each of Subscriber B and Subscriber C to accommodate the additional time necessary for fulfilling the related conditions precedent. Further announcements will be released as appropriate.
