CITIC FAMC Publishes 2025 ASM Proxy: Key Votes on Share Mandate, 2025 Profit Distribution and Board Changes

China CITIC Financial Asset Management Co., Ltd. (CITIC FAMC) has circulated the proxy form for its 2025 Annual Shareholders’ Meeting (ASM), scheduled for 3:00 p.m. on 29 May 2026 at the company’s headquarters, No. 8 Financial Street, Xicheng District, Beijing.

Key agenda items:

1. Special Resolution • Granting the Board a general mandate to issue additional shares.

2. Ordinary Resolutions • Appointment of accounting firms for the 2026 financial year. • Approval of the 2026 fixed-asset budget plan. • Approval of the final financial accounts for 2025. • Approval of the 2025 profit-distribution plan. • Re-election of Mr. Li Zimin as an executive director. • Election of Mr. Chen Zihao as a non-executive director. • Approval of the Board’s 2025 work report. • Approval of the 2026 external fund-donation plan.

Procedural notes:

• Shareholders may appoint the Chairman of the Meeting or another proxy to vote on their behalf. • Proxy forms, together with notarised powers of attorney where applicable, must reach Computershare Hong Kong Investor Services Limited (for H-shareholders) or the company’s Board office in Beijing (for domestic shareholders) by 3:00 p.m. on 28 May 2026. • Completion and return of the proxy form does not preclude shareholders from attending and voting in person.

The ASM will decide on core governance matters, the company’s 2025 financial disposition and preparations for 2026, providing direction for CITIC FAMC’s capital management and operational planning.
