BOSIDENG International Holdings Limited will hold its 2026 annual general meeting at 10:00 a.m. on 20 August 2026 in Hong Kong.

Key proposals to be put to shareholders are as follows:

1. Distribution • A final dividend of HKD0.25 per share is tabled for approval.

2. Capital mandates • General issuance mandate: authority to allot, issue, sell or transfer treasury shares up to 20% of the issued share capital (excluding treasury shares) as at 20 August 2026. • Repurchase mandate: authority to buy back up to 10% of the issued share capital (excluding treasury shares).

Based on 11.69 billion shares in issue (excluding 4.25 million shares already repurchased and pending cancellation) as at the 20 July 2026 practicable date: – Maximum new shares issuable: 2.34 billion. – Maximum shares repurchasable: 1.17 billion.

3. Board composition • Re-election of Executive Directors Rui Jinsong and Gao Xiaodong, and Independent Non-executive Director Wang Yao. • All three INEDs have served since 2007; the board is searching for new independent directors to meet Hong Kong Listing Rule 3.13A deadlines (before July 2028 and July 2031).

4. Auditor • Re-appointment of KPMG as external auditor for the financial year ending 31 March 2027, with an estimated audit fee of RMB5.00 million–RMB6.00 million.

Shareholder logistics:

• Register of members will be closed from 17–20 August 2026 for AGM voting eligibility, with 14 August 2026 as the last day to lodge share transfers. • Proxy forms must be lodged at Computershare Hong Kong Investor Services at least 48 hours before the meeting.

Shares repurchased in March and April 2026 totalled 4.25 million. If the new buy-back mandate were exercised in full, the controlling shareholders’ voting interest would rise from 60.08% to 66.75%, remaining above the 25% public-float threshold.

All resolutions are recommended for approval by the board, which is chaired by Gao Dekang.
