Guoen Holdings Limited released its Monthly Return for Equity Issuer for the period ended 31 August 2026, confirming that both authorised and issued share capital remained unchanged during the month and that the company continued to meet Hong Kong’s minimum public-float requirements.
The authorised share capital held steady at HKD 100.00 million, representing 10.00 billion ordinary shares with a par value of HKD 0.01 each. Issued shares (excluding treasury shares) were unchanged at 30.01 million, and the company held no treasury shares.
Guoen affirmed compliance with the GEM Listing Rule 17.37D(1) requiring at least 25% of issued shares to be in public hands. No share repurchases, redemptions, or treasury-share transactions occurred during August.
Under the share option scheme adopted on 19 January 2026, 3.00 million options remained outstanding at month-end, representing the number of shares that could be issued upon full exercise. No options were exercised in August, and therefore no new shares were issued and no proceeds were raised.
The company reported no outstanding warrants, convertible securities, or other equity-linked instruments, and no additional share-issue agreements or arrangements were executed during the month.
The Monthly Return was submitted to the Hong Kong Exchanges and Clearing Limited on 1 September 2026 by Company Secretary Lester Yuen Sing Wai, who confirmed adherence to all applicable listing rules and regulatory requirements.
