China Communications Construction Proposes Auditor Transition from Ernst & Young to KPMG

China Communications Construction Company Limited (the “Company”) announced that its Board resolved on 30 March 2026 to appoint KPMG as international auditor and KPMG Huazhen LLP as domestic auditor for the 2026 financial year, replacing the incumbent Ernst & Young and Ernst & Young Hua Ming LLP.

The change follows Chinese regulatory requirements on auditor rotation issued by the Ministry of Finance, the State-owned Assets Supervision and Administration Commission of the State Council, and the China Securities Regulatory Commission, which limit the length of auditor mandates. Ernst & Young and its mainland affiliate have reached this prescribed service limit.

The Audit and Risk Committee endorsed the proposed appointments, confirming that both KPMG firms possess the necessary professional qualifications, competence, integrity and independence.

Ernst & Young and Ernst & Young Hua Ming LLP have confirmed to the Board that there are no matters related to their retirement that need to be brought to shareholders’ attention. The Board expressed gratitude for their years of service.

The proposed change is subject to shareholder approval at the 2025 Annual General Meeting scheduled for 16 June 2026. If approved, KPMG and KPMG Huazhen LLP will serve from the date of that AGM until the conclusion of the 2026 AGM. A circular outlining further details will be dispatched to shareholders in due course.
