HK Robotics grants 24.00 million awarded shares to 13 employees with two-year mixed vesting schedule

On 20 May 2026, Hong Kong Robotics Group Holding Limited (HK Robotics) granted 24.00 million awarded shares to 13 employees under its Share Award Scheme adopted on 10 September 2025. The award carries a nil exercise price and will be settled either through on-market share purchases funded by the company or by issuing new shares. The reference market price on the grant date was HK$0.56 per share.

The shares will vest in four equal tranches of 25% each at six, 12, 18 and 24 months after the grant date. Vesting is contingent on individual performance—covering departmental targets, operational efficiency, punctuality, integrity and compliance—as well as group-wide key performance indicators such as sales, operating results and financial performance.

A clawback applies to unvested portions in the event of material financial misstatements, breach of confidentiality or non-compete obligations, serious misconduct, insolvency or other specified adverse actions. Vested shares are not subject to clawback.

Following the current grant, 161.15 million shares remain available for future awards within the Share Award Scheme’s overall limit of 209.15 million shares. The Board, including independent non-executive directors and the Remuneration Committee, views the grant as commercially reasonable and aligned with the scheme’s objective of incentivising and retaining talent for the group’s long-term growth.
