AIM Vaccine Co., Ltd. will convene its first extraordinary general meeting of 2026 on 10 June at 10:30 a.m. in Shanghai to seek shareholder approval for a comprehensive capital-markets initiative centred on the issue and listing of RMB-denominated ordinary shares.
The agenda features six special resolutions: 1) authorisation for a private placement of RMB ordinary shares, their public transfer and listing on the National Equities Exchange and Quotations (NEEQ), and a subsequent plan to apply for an A-share listing on the Beijing Stock Exchange; 2) adoption of the call-auction trading method for the NEEQ listing; 3) detailed issuance terms—including share class, volume, target subscribers, pricing mechanism, lock-up, use of proceeds and resolution validity; 4) delegation of full implementation authority to the board; 5) approval of the Private Issuance Prospectus; and 6) amendments to the Articles of Association and the rules of procedure for both the general meeting and the board, effective upon the NEEQ listing.
Five ordinary resolutions will also be submitted: • appointment of professional intermediaries for the placement and listing; • waiver of pre-emptive rights by existing shareholders for the new RMB shares; • establishment of a designated proceeds account under a tripartite supervision agreement; • assessment of the company’s governance mechanisms; and • formulation or revision of related governance policies.
H-shareholders recorded in the register may appoint a proxy using the prescribed form; completed proxies must reach Tricor Investor Services Limited by 10:30 a.m. on 9 June 2026. Attendance and voting in person remain permissible despite prior proxy submission.
