Digital Hollywood Interactive Ends Acting-in-Concert Deed, Reshapes Controlling Shareholder Structure

Digital Hollywood Interactive Limited (Digital Hollywood, HK:02022) announced on 20 May 2026 that its four founding shareholders—Mr. Lu Yuanfeng, Ms. Luo Simin, Mr. Huang Deqiang and Mr. Huang Guozhan—have executed a deed to terminate the Acting-in-Concert (AIC) arrangement established on 27 June 2017.

The AIC Deed had grouped the four parties as a single concert party, collectively holding 947.96 million shares, or 47.40 % of Digital Hollywood’s issued share capital. Termination of the agreement aims to streamline board- and shareholder-level decision making.

Revised Ownership Structure • Mr. Lu Yuanfeng and spouse Ms. Luo Simin retain a combined 792.86 million shares, equal to 39.64 % of outstanding shares. Owing to their spousal relationship, they are now presumed the sole controlling shareholder group. • Mr. Huang Deqiang holds 98.18 million shares (4.91 %) through HDQ Digital Holdings Limited. • Mr. Huang Guozhan holds 56.92 million shares (2.85 %) via LXT Digital Holdings Limited. Both Mr. Huang Deqiang and Mr. Huang Guozhan now individually control less than 30 % of voting rights and therefore cease to be controlling shareholders.

Non-Competition Undertakings The 2017 Deed of Non-competition, previously binding on all four founders, will no longer apply to Mr. Huang Deqiang and Mr. Huang Guozhan following their change in status.

Management Commentary Digital Hollywood stated that the change will not have a material impact on the Group’s financial position or operations. The company will release further updates if necessary and advises shareholders and potential investors to exercise caution when dealing in the shares.
