Hengan International Group Company Limited (“Hengan Int’l”) announced a planned governance change that will see Vice President and Executive Director Xu Wenmo re-designated as a Non-Executive Director immediately after the Annual General Meeting scheduled for 18 May 2026, conditional on his re-election by shareholders at that meeting.

Xu, aged 59, has served the group since 1985 and became an executive board member on 24 August 2023. He currently oversees legal affairs, risk control, and internal and external audit functions, drawing on more than 37 years of experience in consumer-products management, marketing and sales. He holds the title of Senior Economist in the People’s Republic of China.

Subject to shareholder approval, the company will issue a new letter of appointment to Xu. Key terms include: • Annual director’s fee: HK$60,000, terminable by either party with three months’ written notice. • Additional remuneration: Xu earned approximately RMB670,063 in the year ended 31 December 2025 for his wider executive responsibilities; future payments for non-board roles remain possible. • Rotation: His new directorship will remain subject to the company’s standard retirement-by-rotation provisions.

Shareholding disclosures under Part XV of the Securities and Futures Ordinance show Xu is interested in 7.98 million Hengan Int’l shares. The holding comprises 60,000 unvested awarded shares granted on 15 January 2026, 7.28 million shares held through Fountain Luck Holdings Limited (ultimately controlled via The Fountain Luck Trust, of which Xu is settlor and beneficiary), and 0.64 million shares held personally.

The board stated there are no other matters requiring disclosure under Listing Rule 13.51(2)(h)–(v) and acknowledged Xu’s forthcoming change in role with a formal welcome. Hengan Int’l’s board currently consists of six executive directors, including Xu, and four independent non-executive directors.
