Keppel Infrastructure Trust to Issue 200 million Singapore dollar 2.80% Notes Due Apr, 28 2033

Keppel Infrastructure Fund Management Pte. Ltd., trustee-manager of Keppel Infrastructure Trust (KIT), announced on Apr, 21 2026 that it has signed a subscription agreement with DBS Bank Ltd., Oversea-Chinese Banking Corporation Limited and United Overseas Bank Limited to place 200 million Singapore dollars of 2.80 per cent notes maturing on Apr, 28 2033. The offering will be made under KIT’s existing 3.0 billion Singapore dollar multicurrency debt issuance programme.

The Series 006 Notes will be issued at par on Apr, 28 2026. They constitute direct, unconditional, unsubordinated and unsecured obligations of the issuer, ranking pari passu with its other unsecured debt. Interest will be paid semi-annually in arrears on Apr, 28 and Oct, 28 each year, commencing Oct, 28 2026.

Net proceeds, after deducting issue expenses, will be deployed to finance or refinance the group’s acquisitions, investments and asset enhancement works, fund general working-capital and capital-expenditure needs, or refinance existing borrowings.

KIT intends to seek approval for the listing and quotation of the notes on the Singapore Exchange Securities Trading Limited.

The notes include a covenant stipulating an event of default if the trustee-manager resigns, is removed or otherwise ceases to act and no replacement is appointed in accordance with KIT’s trust deed and applicable laws. Breach of this condition could trigger cross-defaults affecting about 1.63 billion Singapore dollars of the group’s outstanding facilities and borrowings.
