Minerva Group Holding Limited (MINERVA) has postponed the despatch of prospectus documents for its upcoming rights issue, moving the date from 15 May 2026 to 5 June 2026 to allow additional time to finalise disclosure materials.

The planned rights issue remains unchanged: shareholders will be offered one rights share for every two existing shares at HK$0.038 per rights share on a non-underwritten basis.

Key revisions to the timetable are as follows: • Last day of dealings in shares on a cum-rights basis: 26 May 2026 • First day of dealings on an ex-rights basis: 27 May 2026 • Record date for entitlement determination: 4 June 2026 • Trading in nil-paid rights: 9 June 2026 to 16 June 2026 • Latest time for acceptance and payment: 4:00 p.m., 22 June 2026 • Placing of unsubscribed and non-qualifying shareholders’ rights shares: 2 July 2026 to 7 July 2026 • Announcement of rights-issue results and net gain per unsubscribed share: on or before 17 July 2026 • Commencement of dealings in fully-paid rights shares: 9:00 a.m., 21 July 2026 • Payment of net gain to relevant shareholders: 30 July 2026 • Conclusion of odd-lot matching services: 6 August 2026
