E-STAR CM AGM Approves All Resolutions, Confirms HK$0.085 Final Dividend

E-STAR CM announced that shareholders approved every agenda item at the 5 June 2026 annual general meeting. Tricor Investor Services Limited acted as scrutineer, and all directors participated in person or via electronic means.

The meeting covered 1.01 billion issued shares, of which 1.01 billion were eligible to vote after excluding 2.03 million shares held under the company’s restricted share-unit scheme. Each of the 10 ordinary resolutions received more than 99 % support, with key items summarised as follows:

1. Dividend: Shareholders endorsed a final cash dividend of HK$0.085 per share for FY 2025. Based on the outstanding share capital, the payout represents approximately HK$86.23 million.

2. Board composition: • Executive Director Chen Qunsheng, Non-executive Director Ou Qunping and Independent Non-executive Director Guo Zengli were all re-elected. • The board is now composed of two executive, two non-executive and three independent non-executive directors.

3. Auditor: Deloitte Touche Tohmatsu was re-appointed, with remuneration authority delegated to the board.

4. Capital mandates: • Directors received authority to issue new shares up to 20 % of existing share capital. • A 10 % buy-back mandate was renewed. • The issuance mandate can be extended by the amount of shares repurchased.

All resolutions passed comfortably, with the narrowest margin—re-appointing the auditor—still achieving 99.65 % support.

The poll results affirm shareholder backing for the company’s capital-management flexibility and board composition heading into the 2026 financial year.
