First Sponsor details multiple corporate moves in H2 2025

First Sponsor Group Limited announced a series of investment and corporate restructuring activities that took place in the six months ended Dec, 31 2025.

The company set up three new subsidiaries in the People’s Republic of China. On Aug, 25 2025, it formed Dongguan Dongfu No. 8 Industrial Investment and Dongguan Dongfu No. 10 Industrial Investment, in which it holds 90 per cent stakes. On Dec, 10 2025, it established Sichuan Huamuli Hotel Management as a wholly owned unit to focus on hotel management.

On Sep, 8 2025, First Sponsor raised its effective interest in Shenzhen Heshuntongye Industrial by 2 percentage points to 92 per cent through a 200,000 renminbi cash purchase of shares that carried a net asset value of about 10.9 million renminbi.

Between Jul, 1 and Dec, 31 2025, its subsidiaries Ps 46.10 and FS NL Holdings acquired 670,798 shares of Euronext Amsterdam-listed NSI N.V. for roughly 20.1 million Singapore dollars, lifting the group’s stake to 29.0 per cent from 25.7 per cent. The additional holding contributed about 12.1 million Singapore dollars to the group’s 2025 earnings but did not materially affect its year-end balance sheet.

First Sponsor also formed a 40 per cent-owned associate, Sichuan Gushu Shanhai Cultural & Creative Management, on Sep, 12 2025. Conversely, it exited its 47.8 per cent position in Shanghai Qilu Junkun Enterprise Development Partnership on Sep, 11 2025 for no consideration and dissolved two dormant subsidiaries in October and November 2025 respectively.

The company said that, apart from the profit contribution from NSI, these transactions did not have a material impact on its earnings per share or net tangible assets for the year ended Dec, 31 2025.
