Hua Medicine Seeks Shareholder Nod for Fourth Amended and Restated Memorandum and Articles to Facilitate Electronic and Hybrid Meetings

Hua Medicine’s board has proposed the adoption of a Fourth Amended and Restated Memorandum and Articles of Association aimed at modernising how the company conducts its general meetings.

Key revisions include provisions allowing annual and other general meetings to be convened either fully electronically or in a hybrid format, alongside enabling electronic voting. The update also incorporates several consequential and housekeeping amendments to reflect these changes.

Implementation of the amended Articles requires approval via a special resolution at the upcoming annual general meeting. If endorsed by shareholders, the amendments will take effect immediately following the vote.

The company will distribute a circular detailing the proposed amendments together with the AGM notice in due course.

Hua Medicine’s board is led by Chief Executive Officer and Executive Director Dr. Li Chen, with executive directors Mr. George Chien Cheng Lin and Dr. Yi Zhang; non-executive director Mr. Robert Taylor Nelsen; and independent non-executive directors Mr. William Robert Keller, Mr. Yiu Wa Alec Tsui and Mr. Yiu Leung Andy Cheung. The announcement was issued in Hong Kong on 16 April 2026.
