BRETON (01333) announced that Mr. Li Xiaofu has resigned from his positions as an independent non-executive director of the company's second-term board of directors, Chairman of the Board Nomination Committee, and member of the Audit Committee due to personal work arrangements. The resignation of Mr. Li Xiaofu will take effect from the date a new independent non-executive director is elected by the company's shareholders' meeting. Until that time, Mr. Li Xiaofu will continue to perform his duties as an independent non-executive director, Chairman of the Board Nomination Committee, and member of the Audit Committee. Furthermore, following a qualification review by the Nomination Committee of the company's second-term board of directors, a board meeting held on January 9, 2026, reviewed and passed the "Proposal on Nominating Candidates for Independent Directors of the Second-Term Board of Directors," agreeing to nominate Mr. Gui Zhenhua as a candidate for independent non-executive director of the second-term board. He will concurrently serve as Chairman of the Nomination Committee and a member of the Audit Committee, with his term commencing from the date of approval by the shareholders' meeting and lasting until the expiration of the second-term board's tenure.
