Black Sesame issues 1.84 million new shares in July; public float intact

Black Sesame International Holding Limited (Black Sesame, HKEX: 02533) disclosed its Monthly Return for the period ended 31 July 2026, highlighting a modest expansion of its share base driven by option exercises while maintaining full compliance with Hong Kong’s 25% public-float requirement.

Issued share movement • New shares: 1.84 million ordinary shares were issued during July, all stemming from exercises under the company’s Pre-IPO Share Plan. • Month-end position: Issued shares (excluding treasury) rose to 714.44 million, lifting total issued shares to 716.42 million. • Treasury shares: Unchanged at 1.98 million, leaving total shares in issue plus treasury at 716.42 million.

Share-based incentives • Pre-IPO Share Plan – Outstanding options declined to 81.12 million after 1.84 million options were exercised and 0.05 million were cancelled. • Post-IPO Share Plan – Outstanding options stood at 12.05 million following the lapse of 0.18 million options during the month. • Proceeds – Option exercises generated HKD 5.03 million in cash inflows.

Capital structure and compliance • Authorised share capital remained unchanged at 1.00 billion ordinary shares with a par value of USD 0.0001 each, equivalent to USD 0.10 million. • Black Sesame confirmed continued compliance with the minimum 25% public-float threshold prescribed by the Hong Kong Stock Exchange.

No activity was recorded in relation to warrants, convertible securities, other share-issuance agreements or treasury-share movements outside the disclosed option exercises.
