SINOFORTUNE FIN (08123) announced that regarding the proposed disposal of the entire issued share capital of Huayi Real Estate Limited, all precedent conditions stipulated in the disposal have been fulfilled, and the transaction was completed on October 8, 2025, in accordance with the terms and conditions of the relevant agreements.

Following completion, the target company is no longer a subsidiary of the company, and its financial results, assets and liabilities will no longer be consolidated into the group's financial statements.

Additionally, on October 8, 2025, the company (as tenant) entered into a lease agreement with the target company (as landlord) to lease back the property for a term of two years commencing from October 8, 2025, with a monthly rental of HK$130,000.
