Poly Xverse Intelligent Technology Co. Ltd. (Poly Xverse IT) disclosed on 16 July 2026 that Peak Access International, its 20.14 % shareholder wholly owned by Executive Director, Chairlady and CEO Ms. Wang Jingyu, has signed a private placing letter with CS Wealth Securities.

Under the agreement, CS Wealth Securities will act on a best-efforts basis to place up to 299.14 million existing shares—equivalent to Peak Access’s entire holding—to independent third-party investors at not less than HK$0.33 per share. The potential deal represents a maximum transaction value of about HK$98.72 million.

The placing window opens immediately and will close at 5:00 p.m. on 24 July 2026, or earlier if orders covering the full tranche are secured. Successful completion would leave Peak Access with no shares in Poly Xverse IT, thereby ending its status as a substantial shareholder.

Shareholders and prospective investors are urged to exercise caution when dealing in Poly Xverse IT shares, as the placing may or may not proceed.
