SY Holdings (06069) announced that the board of directors was informed by Mr. Tung Chi Fung (the Company's Chairman, Executive Director and controlling shareholder) that through his controlled entity Wisdom Cosmos Limited, he acquired 2.671 million shares of the Company in open market transactions on September 3, 2025, at an average price of approximately HK$11.29 per share and a maximum price of approximately HK$11.86 per share. The total investment exceeded HK$30 million, representing approximately 0.26% of the Company's total issued shares as of the announcement date.

Following this shareholding increase, Wisdom Cosmos and Mr. Tung directly hold and are deemed to have interests in 565 million shares of the Company respectively, both representing approximately 55.99% of the Company's total issued shares as of the announcement date.

Mr. Tung has never disposed of any shares of the Company and has increased his holdings in the Company on multiple occasions since its listing. Including this latest increase, Mr. Tung has cumulatively acquired over 9 million shares with a total investment exceeding HK$73 million.

As informed by Mr. Tung, the shareholding increase was motivated by his confidence in the Group's overall development prospects and growth potential, as the Company formally initiates its global expansion to build a new "International Supply Chain Technology Platform" powered by artificial intelligence (AI) technology. Subject to compliance with applicable laws and regulatory requirements, Mr. Tung plans to continue increasing his holdings in the Company.
